PuzzleDepot.Com, a [individual/entity] with an address of 5722 Jones Valley Drive, Huntsville AL 35802 USA (the "Company") maintains a web site located at the URL https://www.puzzledepot.com/ (the "Company Web Site") through which visitors can subscribe to the Company�s "opt-in" email lists. These lists are offered for rental to direct marketers through PostMasterDirect.com�s list rental service at https://www.postmasterdirect.com (the "Service").

(a) Commission Schedule.

Subject to your continued compliance with the terms and conditions of this Agreement, the Company will pay you a Commission based on its rental of each legitimate Referred Name for the twelve (12) month period commencing on the date upon which the Company confirms that Referred Name�s subscription and adds that address to the Company database (the "Commission Term"). The amount of the Commission will be in an amount equal to 50 percent (50%) of the Net Rental Revenues derived by Company during the Commission Term. For purposes of this Agreement, "Net Rental Revenues" are defined as the gross rental revenues derived from the rental of each Referred Name�s e-mail address, minus any share of such revenues received by any list manager and/or broker (including without limitation PostMasterDirect.com) and any volume discounts and chargebacks.

(b) Commission Payment.

For each month in which the total Commission due to you exceeds one-hundred dollars ($100), the Company will send you a commission check for the applicable Commission (less any taxes required to be withheld under applicable law). Such commission checks will be paid on the first business day of the month following the month during which the list rental revenues were collected by the Company. In the event that the Commissions payable to you in any one-month period are less than $100, the Company will hold that Commission until the total amount due is at least $100 or (if earlier) until this Agreement is terminated. You will continue to earn a Commission based on each new Referred Name that you refer to the Company for the Commission Term. In the event that the Referred Name asks to be removed from the Company database or his or her e-mail address becomes invalid, that address will no longer be available for rental and you will receive no further Commission from it.
